Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Coorde Tech s.r.o. (“Coorde”, “we”, “us”) and govern your use of the Coorde application and related services (the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms.

Payments are handled by Paddle as our Merchant of Record. When you subscribe, Paddle is the reseller you buy from, and these Terms are the Supplier Agreement that governs the Coorde product itself. Billing, invoices, taxes, cancellations and refunds are handled by Paddle under its Buyer Terms and Refund Policy.

1. The Service

Coorde is an assistant that helps small teams coordinate work. It connects to your Google Calendar, plans upcoming work, creates and assigns tasks, and follows up with your team through WhatsApp, Slack and the web app. The Service requires a connected Google Calendar to function. We may add, change or remove features over time.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use Coorde on behalf of a business, you confirm you are authorized to accept these Terms for that business, and “you” refers to that business.

3. Your account and team

You are responsible for accurate account details, keeping your login secure, and activity under your account. When you add team members, you are responsible for having the right to share their information with us. Data you connect, such as your calendar, may be visible to members of your workspace.

4. Service status

Coorde is a new and evolving service. It is provided “as is” and “as available”, may still be developing, and can change. We do not promise a specific level of uptime or availability at this stage, and occasional issues may occur. Nothing here limits your mandatory rights as a consumer.

5. Payment and billing (Paddle)

Subscriptions are sold through Paddle, our Merchant of Record. Your purchase and payment are made with Paddle, which handles payment processing, invoices, applicable taxes, refunds and chargebacks. The Service includes a 14-day free trial; a payment card is required at signup. Unless you cancel before the trial ends, your chosen plan starts automatically. Prices are shown in USD and exclude applicable tax, calculated at checkout.

6. Subscriptions and cancellation

Subscriptions renew automatically for successive monthly or yearly periods until cancelled. You can cancel through the Paddle buyer portal or within the app. Cancellation takes effect at the end of your current paid period; you keep access until then and will not be charged again. We do not provide partial-period refunds except where required by law or Paddle’s Refund Policy.

7. Price changes

Your price stays the same while your subscription remains continuously active. If you cancel and later re-subscribe, the then-current price applies. We may change prices for legitimate objective reasons, including material changes to costs, taxes, legal obligations or the Service. We will give at least 30 days’ notice; any new price applies from the next billing period or renewal, never mid-period for an already-paid annual plan.

8. Your content and data

You keep ownership of content you put into Coorde. You grant us the licence needed to process it to provide the Service, for example by reading your calendar, creating tasks and messaging your team. We only use anonymized data to improve the product, and we do not train AI models on your data.

9. Acceptable use

You agree not to use the Service unlawfully; harm, harass or infringe the rights of others; copy, resell, reverse engineer or attempt to extract source code; interfere with or gain unauthorized access to the Service; or use the Service in breach of the terms of connected third-party services.

10. Intellectual property

Coorde and all rights in the Service, including its software, design and content excluding your own content, belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Service under these Terms. No other rights are granted.

11. Third-party services

Coorde works with third-party services including Google Calendar, WhatsApp, Slack, OpenAI and Paddle. Your use of those services is subject to their own terms, and we are not responsible for them. If a third-party service changes or becomes unavailable, parts of Coorde may be affected.

12. Warranties and disclaimers

To the fullest extent permitted by law, and given that the Service is new and evolving, the Service is provided “as is” and “as available” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free or fully secure. This does not affect any mandatory consumer rights.

13. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful, including for death or personal injury caused by negligence, fraud, or under mandatory consumer law. Subject to that, we are not liable for indirect or consequential losses, loss of profit, revenue, data, goodwill or business opportunity; our total liability is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim.

14. Suspension and termination

You can stop using Coorde at any time by cancelling your subscription. We may suspend or terminate access if you materially or repeatedly breach these Terms, if required by law, or if a third-party service makes it impossible to continue. Where reasonable, we will give notice and a chance to fix the problem. After an account ends, we retain or delete data as described in our data policy.

15. Consumer right of withdrawal

If you are a consumer in the EU, EEA or UK, you have the right to withdraw from your purchase within 14 days. Because the Service starts immediately, you will be asked at checkout to agree that we may begin providing it during that period; if you do, you may lose the right to withdraw for the part already provided. Withdrawal and refunds are handled through Paddle under its Refund Policy.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will let you know by email or in the app before they take effect. Where the law requires consent, we will ask for it; otherwise, continuing to use the Service after changes take effect means you accept them.

17. Governing law and disputes

These Terms are governed by the laws of the Czech Republic. For business customers, the courts of the Czech Republic have exclusive jurisdiction over disputes. If you are a consumer, you keep the protection of mandatory laws where you live and may bring a claim in your local courts. Billing disputes with Paddle are governed by the Paddle Buyer Terms.
